Professional Standards and Warranties

Except as expressly stated, all services are provided "as is" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Third-Party Dependencies

Our work may rely on information, approvals, or services provided by third parties. We are not responsible for delays, errors, or defects arising from third-party performance or information beyond our reasonable control.

Termination

Either party may terminate services under the following conditions:

Termination by shoppeskdj

• Non-payment of invoices beyond 60 days
• Material breach of terms by the client
• Provision of false or misleading information
• Requests to perform work that violates professional standards or laws
• Safety concerns or unreasonable project risks

Termination by Client

• For convenience with 14 days written notice
• For cause due to material breach by shoppeskdj
• Project cancellation or significant scope changes

Effect of Termination

Upon termination, clients remain liable for all fees and expenses incurred up to the termination date. shoppeskdj will provide work completed to date and return client materials, subject to payment of outstanding invoices.

Confidentiality

shoppeskdj respects the confidential nature of client information and project details. We agree to:

• Maintain confidentiality of proprietary client information
• Use information only for the purpose of providing services
• Implement reasonable security measures to protect data
• Not disclose information to unauthorised third parties
• Return or destroy confidential materials upon request

Force Majeure

Neither party shall be liable for delays or failures in performance due to circumstances beyond their reasonable control, including but not limited to:

• Labour disputes, strikes

• Cyber attacks or technology failures
• Supplier or subcontractor failures

The affected party must promptly notify the other party and use reasonable efforts to minimise the impact. If force majeure continues for more than 90 days, either party may terminate the affected project.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Netherlands. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the Dutch courts.

Dispute Resolution

Before initiating court proceedings, parties agree to attempt resolution through:

3. If necessary, arbitration under Dutch arbitration rules

Professional Standards

Our professional engineering services are also subject to the standards and regulations of the Royal Institution of Dutch Engineers (KIVI) and relevant Dutch professional engineering bodies.

General Provisions

Severability

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Invalid provisions will be replaced with valid provisions that most closely achieve the intended purpose.

Entire Agreement

These terms, together with any project-specific agreements and our Privacy Policy, constitute the entire agreement between you and shoppeskdj regarding the use of our website and services, superseding all prior agreements and understandings.

Modifications

We may update these terms from time to time. Material changes will be communicated through our website or direct notification to active clients. Continued use of our services after changes constitutes acceptance of the modified terms.

Assignment
